 FineArtRelations™ Master Services Agreement (MSA)

The purpose of this Master Services Agreement ("Agreement") is to establish the general terms and conditions governing the business relationship between FineArtRelations™ ("Company") and the undersigned client ("Client"). This Agreement serves as the foundational contract between the parties and is intended to facilitate the provision of Fine Art Client Appreciation Programs and related services.

FineArtRelations™ specializes in creating and administering client appreciation programs that utilize original fine art, personalized correspondence, and relationship-focused communication strategies to help businesses strengthen client loyalty, enhance engagement, and encourage long-term relationships. Services may include, but are not limited to, custom greeting cards, milestone recognition programs, anniversary and birthday correspondence, mailing and fulfillment services, program consulting, artwork licensing, and other client appreciation initiatives.

This Agreement establishes the framework under which FineArtRelations™ may provide services to the Client from time to time. Individual projects, subscription plans, service orders, proposals, statements of work, pricing schedules, or program addendums entered into by the parties shall be governed by and incorporated into this Agreement.

The parties acknowledge that the success of a Client Appreciation Program depends upon collaboration, timely communication, accurate information, and mutual commitment to maintaining the quality and integrity of the program. Accordingly, this Agreement defines the respective rights, responsibilities, obligations, and expectations of both parties.

This Agreement is intended to provide consistency and efficiency by eliminating the need to negotiate new contractual terms for each future service request. Once executed, this Agreement shall govern all current and future services provided by FineArtRelations™ unless superseded by a written amendment signed by both parties.

By entering into this Agreement, the Client acknowledges its desire to engage FineArtRelations™ as a trusted provider of client appreciation and relationship marketing services and FineArtRelations™ agrees to provide such services in a professional, timely, and commercially reasonable manner in accordance with the terms set forth herein.

FineArtRelations™ is founded on the belief that meaningful relationships are built through thoughtful, memorable moments. The services provided under this Agreement are designed not merely as correspondence, but as strategic relationship-building tools that help the Client create lasting impressions through exclusive fine art and personalized communication. The parties enter into this Agreement with the shared goal of strengthening the Client's relationships with those it serves while maintaining the highest standards of professionalism, confidentiality, and quality.

 

2. Services

Subject to the terms and conditions of this Agreement, FineArtRelations™ agrees to provide professional Fine Art Client Appreciation Program services designed to strengthen the Client's relationships with its customers through meaningful, personalized correspondence and exclusive original artwork.

Services may be provided on a project basis, subscription basis, or under a customized Client Appreciation Program and may include, but are not limited to, the following:

A. Original Fine Art Greeting Cards

Design, production, and delivery of premium-quality greeting cards featuring exclusive reproductions of original artwork created by artist D. LaPoole. Card collections may include, but are not limited to:

  • Birthday Cards
  • Client Anniversary Cards
  • Home Purchase Anniversary Cards
  • Holiday Cards
  • Thank You Cards
  • Congratulations Cards
  • Sympathy Cards
  • Referral Appreciation Cards
  • Special Occasion Cards
  • Custom Event Recognition Cards

All artwork remains the exclusive intellectual property of FineArtRelations™ and is licensed solely for use within the Client's approved appreciation program.

B. Personalized Client Messaging

Development and customization of professional messages that reflect the Client's brand, voice, and relationship with its customers.

Services may include:

  • Personalized greetings
  • Custom signatures
  • Company branding
  • Personalized salutations
  • Individual client messages
  • Executive signatures
  • Seasonal messaging
  • Profession-specific messaging
  • Custom message development

C. Graphic Design & Brand Integration

FineArtRelations™ will professionally incorporate the Client's visual identity into approved correspondence while preserving the artistic integrity of each design.

Services may include:

  • Company logo placement
  • Corporate color integration
  • Brand typography
  • Custom layouts
  • Business contact information
  • QR codes
  • Website integration
  • Marketing inserts
  • Custom packaging design

D. Printing & Production

Production of premium-quality printed correspondence utilizing commercial printing standards designed to reflect the Client's professional image.

Services may include:

  • Premium card stock
  • High-resolution artwork reproduction
  • Professional color matching
  • Quality control inspections
  • Premium envelopes
  • Protective packaging
  • Limited edition collections
  • Specialty finishes (where available)

E. Mailing & Fulfillment Services

FineArtRelations™ may coordinate the preparation and mailing of correspondence directly to the Client's customers.

Services may include:

  • Address verification
  • Envelope preparation
  • Postage application
  • Scheduled mailing
  • Bulk mailing coordination
  • Individual mail fulfillment
  • Tracking of scheduled mailings
  • Returned mail processing

F. Subscription Program Management

Administration of recurring Client Appreciation Programs based upon the subscription level selected by the Client.

Program management may include:

  • Annual program planning
  • Birthday scheduling
  • Anniversary scheduling
  • Holiday campaign management
  • Artwork rotation
  • New collection releases
  • Mailing calendar management
  • Program performance reviews

G. Client Database & Address Management

FineArtRelations™ may maintain customer contact information solely for purposes of administering the Client's appreciation program.

Services may include:

  • Secure storage of customer information
  • Address updates provided by Client
  • Birthday and anniversary tracking
  • Mailing list maintenance
  • Duplicate record identification
  • Client record management

All customer information shall remain the exclusive property of the Client and shall be maintained in accordance with the Data Protection & Confidentiality Agreement.

H. Client Appreciation Consulting

FineArtRelations™ may provide strategic consulting services to assist Clients in developing effective relationship marketing initiatives.

Consulting services may include:

  • Client retention strategies
  • Referral marketing recommendations
  • Annual appreciation planning
  • Customer engagement ideas
  • Recognition calendars
  • Communication scheduling
  • Industry-specific best practices
  • Program optimization

I. Custom Creative Services

Upon request, FineArtRelations™ may provide additional creative services including:

  • Exclusive commissioned artwork
  • Limited-edition card collections
  • Corporate gifts
  • Framed artwork
  • Recognition awards
  • Event-specific correspondence
  • Executive appreciation programs
  • Seasonal marketing campaigns

Such services shall be quoted separately unless otherwise included within the Client's subscription plan.

J. Future Services

As FineArtRelations™ continues to expand its offerings, additional services may be introduced from time to time. Any future services accepted by the Client through a written proposal, Statement of Work, subscription amendment, or purchase order shall automatically become subject to the terms and conditions of this Agreement unless otherwise agreed in writing.

K. Relationship Marketing Strategy

This is the service that distinguishes FineArtRelations™ from a traditional greeting card provider. We collaborate with Clients to develop thoughtful communication plans that help maintain meaningful connections throughout the year. By identifying key milestones, selecting artwork that reflects the Client's brand, and coordinating the timing of each communication, we help transform ordinary correspondence into a strategic client retention and referral program.

3. Client Responsibilities

The Client acknowledges that the effectiveness of the FineArtRelations™ Client Appreciation Program depends upon timely communication, accurate information, and active participation. The Client agrees to cooperate with FineArtRelations™ in good faith and shall be responsible for the following:

A. Accurate Client Information

The Client shall provide complete, accurate, and current information necessary for FineArtRelations™ to perform the requested services. Such information may include, but is not limited to:

  • Client names
  • Mailing addresses
  • Birth dates
  • Home purchase anniversary dates
  • Company names
  • Personalized messages
  • Other information required to prepare and deliver client appreciation correspondence

The Client represents and warrants that it has the legal right to provide such information for the purposes described in this Agreement.

The Client shall be solely responsible for the accuracy and completeness of all information submitted.

B. Proof Review and Approval

Prior to printing or production, FineArtRelations™ may provide electronic or printed proofs for review.

The Client agrees to:

  • Carefully review all proofs for accuracy.
  • Verify names, dates, addresses, logos, spelling, grammar, and personalized messages.
  • Approve or reject proofs within the requested timeframe.
  • Notify FineArtRelations™ of any corrections before granting final approval.

Once final approval has been provided, the Client accepts responsibility for any errors appearing in the approved materials. Corrections requested after production has commenced may result in additional charges and revised production schedules.

C. Address Maintenance

The Client agrees to provide updated mailing information whenever changes become known.

The Client understands that:

  • Incorrect addresses may result in returned mail or delayed delivery.
  • FineArtRelations™ is not responsible for undeliverable correspondence resulting from inaccurate or outdated address information supplied by the Client.
  • Returned mail may be subject to additional postage or handling fees if re-mailed at the Client's request.

D. Program Information Updates

To ensure the continued effectiveness of the Client Appreciation Program, the Client agrees to promptly notify FineArtRelations™ of any changes that may affect program administration, including:

  • Changes to branding or logos
  • Business name changes
  • Contact information updates
  • Changes in subscription level
  • Addition or removal of clients
  • Changes to personalized messaging
  • Changes to recognition dates or mailing preferences

E. Billing Responsibilities

The Client agrees to:

  • Maintain accurate and current billing information.
  • Pay invoices according to the payment terms established under this Agreement or any applicable subscription plan.
  • Notify FineArtRelations™ of changes in billing contacts or payment methods.
  • Remit payment for approved services, subscription renewals, additional print runs, postage, and optional services.

Failure to maintain current payment status may result in suspension of services until outstanding balances have been satisfied.

F. Legal Compliance

The Client agrees to use the services provided by FineArtRelations™ in compliance with all applicable federal, state, and local laws and regulations.

The Client further represents that:

  • It has obtained any necessary permissions or consents required to send correspondence to its clients.
  • The information supplied does not violate any privacy, confidentiality, intellectual property, or consumer protection laws.
  • It will not request FineArtRelations™ to produce materials that are unlawful, misleading, defamatory, discriminatory, or otherwise prohibited by law.

G. Cooperation

The Client agrees to cooperate with FineArtRelations™ in a timely manner by responding to requests for approvals, information, or clarification necessary to complete services.

The Client acknowledges that delays in providing requested information or approvals may affect production schedules and mailing dates.

FineArtRelations™ shall not be responsible for delays resulting from the Client's failure to provide timely responses.

H. Protection of Account Credentials

If the Client is provided access to an online portal or account management system, the Client shall be responsible for maintaining the confidentiality of usernames, passwords, and other account credentials.

The Client agrees to promptly notify FineArtRelations™ of any suspected unauthorized use of its account.

I. Appropriate Use of Services

The Client agrees that the services provided under this Agreement shall be used solely for legitimate client appreciation, relationship-building, and business communication purposes.

The Client shall not use FineArtRelations™ services for:

  • Spam or unsolicited mass communications
  • Fraudulent or deceptive activities
  • Harassing, threatening, or abusive communications
  • Political fundraising or campaigning (unless specifically agreed in writing)
  • Activities that could reasonably damage the reputation of FineArtRelations™

FineArtRelations™ reserves the right to decline any project or communication that it reasonably believes violates applicable law, infringes the rights of others, or is inconsistent with its business standards and values.

J. Acknowledgment of Partnership

The Client acknowledges that FineArtRelations™ serves as a strategic partner in the administration of its Client Appreciation Program. The success of the program depends upon open communication, mutual cooperation, and the timely fulfillment of each party's responsibilities. The Client agrees to work collaboratively with FineArtRelations™ to ensure that all communications accurately reflect the Client's brand, values, and commitment to meaningful client relationships.

4. Payment Terms

FineArtRelations™ is committed to providing premium Client Appreciation Program services through timely planning, production, and fulfillment. To ensure uninterrupted service, the following payment terms shall apply to all products and services provided under this Agreement.

A. Invoicing

Invoices shall be issued upon execution of this Agreement, upon acceptance of a proposal or Statement of Work, or in accordance with the Client's selected subscription plan.

Unless otherwise stated in writing, all invoices are payable within thirty (30) calendar days from the invoice date.

The Client agrees to remit payment by the due date using one of the payment methods approved by FineArtRelations™.

B. Late Payments

Any invoice not paid by the due date shall be considered past due.

A five (5) calendar day grace period will be provided following the invoice due date. If payment is not received within the grace period, the account shall be considered delinquent.

FineArtRelations™ reserves the right to assess a late payment fee of the lesser of 1.5% per month (18% annually) on the outstanding balance or the maximum amount permitted by applicable law. Alternatively, a fixed late fee may be charged as disclosed in the applicable pricing schedule.

The Client shall be responsible for all reasonable costs incurred in collecting past-due amounts, including collection agency fees, court costs, and reasonable attorneys' fees, where permitted by law.

C. Suspension of Services

To maintain production schedules and service quality, FineArtRelations™ reserves the right to suspend or postpone services for any account that becomes delinquent.

Suspended services may include, but are not limited to:

  • Printing
  • Personalized correspondence
  • Scheduled mailings
  • Program management
  • Artwork production
  • Consulting services
  • Subscription benefits

Scheduled mailings may be delayed until the account has been brought current.

FineArtRelations™ shall not be responsible for missed birthdays, anniversaries, holidays, or other scheduled recognition dates resulting from unpaid balances or delayed payment.

D. Subscription Programs

Subscription plans are billed according to the payment schedule selected by the Client, which may include annual, quarterly, or monthly billing options.

Unless otherwise specified in writing, subscriptions shall automatically renew for successive renewal periods under the same terms and conditions.

The Client authorizes FineArtRelations™ to invoice the renewal amount using the payment method on file unless cancelled in accordance with this Agreement.

E. Cancellation of Subscription

Subscription plans may be cancelled by providing thirty (30) days' written notice prior to the next renewal date.

Cancellation shall not relieve the Client of responsibility for:

  • Outstanding invoices
  • Completed work
  • Work currently in production
  • Postage already purchased
  • Materials ordered on behalf of the Client

No refunds shall be issued for services already performed or for partially completed subscription periods unless otherwise agreed in writing.

F. Pricing Adjustments

FineArtRelations™ reserves the right to adjust pricing due to increases in the cost of materials, printing, postage, shipping, labor, or other operating expenses.

Clients enrolled in annual subscription programs shall receive at least sixty (60) days' advance written notice of any pricing adjustments affecting future renewal periods.

G. Returned Payments

Any payment returned due to insufficient funds, declined credit cards, or other payment processing issues may be subject to a returned payment fee.

Repeated payment failures may result in suspension or termination of services until satisfactory payment arrangements have been made.

H. Taxes

The Client shall be responsible for all applicable federal, state, and local taxes, duties, or governmental charges arising from services provided under this Agreement, excluding taxes based upon FineArtRelations™'s income.

I. Disputed Charges

The Client agrees to notify FineArtRelations™ in writing of any disputed invoice within ten (10) business days after receipt of the invoice.

Failure to dispute an invoice within this period shall constitute acceptance of the invoice as accurate and payable.

The parties agree to work in good faith to promptly resolve any billing disputes.

J. Payment Does Not Transfer Ownership

Payment for services provided under this Agreement does not transfer ownership of any artwork, trademarks, copyrighted materials, or other intellectual property owned by FineArtRelations™ or artist D. LaPoole.

All intellectual property rights remain the exclusive property of FineArtRelations™, except as expressly licensed under a separate written agreement.

5. Intellectual Property

FineArtRelations™ is founded upon the original artistic works created by Dennis R. LaPoole ("D. LaPoole"). The Client acknowledges that the artwork incorporated into FineArtRelations™ products and services constitutes valuable intellectual property protected under the copyright laws of the United States and other applicable laws.

A. Ownership

All original artwork, paintings, illustrations, sketches, digital reproductions, greeting card designs, layouts, graphic elements, trademarks, logos, marketing materials, website content, photographs, written content, and all other creative works developed or provided by FineArtRelations™ are and shall remain the sole and exclusive property of D. LaPoole and FineArtRelations™, whether or not such works are registered with the United States Copyright Office.

Nothing contained in this Agreement shall be construed as transferring or assigning any ownership rights in such intellectual property to the Client.

B. Limited License

Upon payment in full for the applicable services, FineArtRelations™ grants the Client a limited, non-exclusive, non-transferable, and revocable license to use the approved artwork solely as incorporated into the FineArtRelations™ Client Appreciation Program provided under this Agreement.

This license is granted exclusively for the purpose of distributing greeting cards and related correspondence produced and supplied by FineArtRelations™.

The Client acquires no ownership interest in the artwork itself.

C. Restrictions on Use

Except with the prior written consent of FineArtRelations™, the Client shall not:

  • Copy or reproduce any artwork;
  • Scan or digitally capture artwork;
  • Photograph artwork for commercial reproduction;
  • Modify, alter, edit, or create derivative works;
  • Print artwork through another printer or vendor;
  • Upload artwork to websites, social media, or online marketplaces for commercial use;
  • License, sublicense, sell, distribute, or transfer artwork to any third party;
  • Remove, obscure, or alter any copyright notice, trademark, artist signature, or proprietary marking.

The Client acknowledges that unauthorized reproduction or distribution of copyrighted artwork may constitute copyright infringement under federal law.

D. Use Limited to Approved Program

The artwork licensed under this Agreement may only be used as part of the Client's approved FineArtRelations™ Client Appreciation Program.

The artwork may not be used for:

  • Advertising campaigns
  • Promotional merchandise
  • Corporate branding
  • Packaging
  • Business cards
  • Websites
  • Digital marketing
  • Social media advertising
  • Email marketing
  • Commercial publications

unless expressly authorized in a separate written licensing agreement executed by FineArtRelations™.

E. Copyright Notice

All artwork shall remain subject to the copyright ownership of D. LaPoole.

Where appropriate, FineArtRelations™ may include copyright notices such as:

© D. LaPoole. All Rights Reserved.

or

Artwork reproduced under license from D. LaPoole exclusively for FineArtRelations™.

The Client agrees not to remove or alter such notices.

F. Client Intellectual Property

The Client shall retain ownership of its own intellectual property, including but not limited to:

  • Business name
  • Logos
  • Trademarks
  • Service marks
  • Copyrighted materials
  • Branding
  • Marketing slogans
  • Personalized messages provided by the Client

The Client grants FineArtRelations™ a limited license to use such materials solely for the purpose of performing services under this Agreement.

G. Portfolio and Promotional Rights

Unless otherwise agreed in writing, FineArtRelations™ may display samples of completed greeting cards, artwork, packaging, and related materials in its portfolio, website, social media, trade shows, marketing presentations, or promotional materials for the purpose of demonstrating its work.

FineArtRelations™ agrees not to disclose confidential client information or personalized customer information in connection with such displays.

A Client may request in writing that FineArtRelations™ refrain from identifying the Client in promotional materials, and FineArtRelations™ will make commercially reasonable efforts to honor such requests.

H. Custom Commissioned Artwork

If FineArtRelations™ creates artwork specifically commissioned by the Client, ownership and licensing rights shall be governed by a separate written Commissioned Artwork Agreement.

Unless expressly transferred in writing, all copyrights in commissioned artwork shall remain the property of D. LaPoole and FineArtRelations™.

I. Protection of Intellectual Property

The Client agrees to promptly notify FineArtRelations™ if it becomes aware of any unauthorized copying, reproduction, distribution, or misuse of FineArtRelations™ artwork or other intellectual property.

Both parties acknowledge that unauthorized use of copyrighted artwork may cause irreparable harm for which monetary damages alone may be inadequate. Accordingly, FineArtRelations™ shall be entitled to seek injunctive relief, in addition to any other legal or equitable remedies available under applicable law.

J. Survival

The provisions of this Intellectual Property section shall survive the expiration or termination of this Agreement and shall remain binding upon the parties for so long as the applicable intellectual property rights remain in effect.

Certificate of Authenticity

This collection features original artwork created by Dennis R. LaPoole and is licensed exclusively through FineArtRelations™. Each design originates from an original painting and is reproduced under the artist's authorization for use in Fine Art Client Appreciation Programs. All artwork remains protected by United States copyright law. Unauthorized reproduction or commercial use is strictly prohibited.

That small addition reinforces the exclusivity of your brand and reminds clients that they are participating in a premium program built around original art—not purchasing stock images or generic greeting cards. It enhances both the perceived value of your service and the protection of your creative work.


 

 

Limitation of Liability

FineArtRelations™ is committed to providing exceptional artwork, professional service, and reliable fulfillment of client appreciation programs. However, certain circumstances may occur that are outside the reasonable control of FineArtRelations™. To the fullest extent permitted by applicable law, FineArtRelations™ shall not be liable for delays, damages, losses, or failures in performance caused by circumstances beyond the Company's reasonable control or resulting from information, instructions, or actions provided by the Client.

FineArtRelations™ shall not be responsible or held liable for:

Postal, Shipping, and Carrier Delays

FineArtRelations™ makes every reasonable effort to ensure that artwork is professionally packaged, properly labeled, and shipped through reputable delivery providers. However, FineArtRelations™ shall not be responsible for delays, interruptions, losses, or damages caused by third-party shipping carriers, postal services, freight providers, customs processing, weather-related disruptions, transportation delays, labor interruptions, or other circumstances occurring after the artwork has been released for shipment.

Estimated delivery dates provided by FineArtRelations™ are provided in good faith and are not guaranteed delivery dates unless expressly agreed upon in writing. Shipping delays shall not constitute a breach of this Agreement.

Client-Provided Information

FineArtRelations™ relies on information, materials, and instructions provided by the Client to complete appreciation programs accurately and efficiently. FineArtRelations™ shall not be responsible for delays, errors, mis-deliveries, or additional costs resulting from inaccurate, incomplete, outdated, or improperly submitted information provided by the Client.

This includes, but is not limited to:

  • Incorrect recipient names.
  • Incorrect shipping addresses.
  • Missing apartment, suite, or unit numbers.
  • Incorrect contact information.
  • Errors in personalization details, inscriptions, messages, or branding materials.
  • Delays caused by the Client's failure to provide timely approvals or required information.

The Client is responsible for reviewing and approving all recipient information, artwork selections, personalization details, and final proofs before production or shipment begins.

Events Beyond Reasonable Control

FineArtRelations™ shall not be liable for any failure, interruption, or delay in performing its obligations under this Agreement caused by circumstances beyond its reasonable control. Such circumstances may include, but are not limited to:

  • Natural disasters, including storms, floods, fires, or other severe weather events.
  • Acts of government authorities or regulatory restrictions.
  • Power outages, internet disruptions, or technology failures.
  • Material shortages or supplier delays.
  • Transportation interruptions.
  • Labor disputes or workforce disruptions.
  • Public health emergencies.
  • Acts of terrorism, civil unrest, or other emergencies.

During any such event, FineArtRelations™ will make reasonable efforts to notify the Client and resume performance as soon as practical. Any affected timelines shall be reasonably extended for the duration of the disruption.

Maximum Liability

To the fullest extent permitted by law, FineArtRelations™'s total liability arising from or related to any service, artwork purchase, appreciation program, or other engagement shall not exceed the total amount actually paid by the Client to FineArtRelations™ for the specific service or project giving rise to the claim.

FineArtRelations™ shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, lost business opportunities, loss of goodwill, or business interruption, regardless of whether FineArtRelations™ has been advised of the possibility of such damages.

Client Responsibility for Program Decisions

The Client retains responsibility for all business decisions related to recipient selection, timing, messaging, distribution strategy, and use of appreciation programs. FineArtRelations™ provides creative services, artwork, and fulfillment support but does not guarantee specific business outcomes, including customer retention, referrals, increased sales, or recipient responses.

FineArtRelations™'s role is to provide a premium appreciation experience through professionally created artwork and service execution; the ultimate impact of the program depends on numerous factors outside the Company's control.

Termination

Either FineArtRelations™ ("Company") or the Client may terminate this Master Services Agreement ("Agreement") or any individual Statement of Work by providing the other party with thirty (30) days written notice unless a different termination period is specifically agreed upon in writing.

Termination notices must clearly identify the intent to terminate, the effective termination date, and any outstanding matters requiring completion or resolution. Notice may be provided through written communication, including email or other documented forms of communication accepted by both parties.

Termination for Convenience

Either party may terminate the business relationship for any reason by providing thirty (30) days advance written notice. Upon receipt of a termination notice, FineArtRelations™ will make reasonable efforts to complete any active work already in production, pending orders, approved artwork projects, or scheduled appreciation program commitments before the termination effective date.

The Client remains responsible for all approved services, completed work, artwork in production, materials purchased, customization fees, shipping expenses, and other commitments incurred prior to the effective termination date.

Termination for Cause

Either party may terminate this Agreement immediately or with a shorter notice period if the other party:

  • Materially breaches any provision of this Agreement and fails to correct such breach within a reasonable cure period after written notice.
  • Fails to make required payments when due.
  • Engages in conduct that damages the reputation, integrity, or business interests of the other party.
  • Becomes insolvent, files for bankruptcy, or ceases normal business operations.

FineArtRelations™ reserves the right to suspend services, delay production, or terminate an engagement if the Client fails to meet payment obligations, provides inaccurate information, repeatedly delays approvals, or otherwise prevents successful completion of the agreed services.

Outstanding Financial Obligations

Termination of this Agreement does not relieve the Client of any payment obligations incurred before the effective termination date. All outstanding balances, approved invoices, production costs, subscription fees, licensing fees, shipping charges, and other amounts owed to FineArtRelations™ shall remain immediately due and payable.

This includes, but is not limited to:

  • Completed artwork and finished products.
  • Artwork currently in production.
  • Customized or personalized materials.
  • Approved orders that cannot reasonably be canceled.
  • Subscription services provided before termination.
  • Expenses incurred on behalf of the Client.

The Client acknowledges that customized artwork, personalized appreciation gifts, and specially prepared materials may require advance production commitments and may not be eligible for cancellation or refund once production has begun.

Effect of Termination

Upon termination:

  • FineArtRelations™ will cease providing future services except as necessary to complete previously approved obligations.
  • The Client will return or discontinue use of any confidential materials belonging to FineArtRelations™.
  • Any limited licenses granted to the Client for artwork usage shall remain subject to the terms of the Intellectual Property section of this Agreement.
  • Each party shall remain responsible for obligations that, by their nature, survive termination, including payment obligations, confidentiality, intellectual property protections, limitation of liability, indemnification, and dispute resolution provisions.

Subscription and Recurring Programs

For recurring appreciation programs, including monthly, quarterly, annual, or milestone-based services, cancellation requests must be submitted in writing at least thirty (30) days before the next scheduled billing or production cycle unless otherwise stated in the applicable service plan.

If cancellation occurs after artwork production, recipient preparation, materials acquisition, or fulfillment activities have begun, the Client remains responsible for all associated costs.

Survival of Agreement Terms

Any provisions of this Agreement that are intended by their nature to continue after termination shall remain in effect, including but not limited to:

  • Payment obligations.
  • Intellectual property ownership and licensing restrictions.
  • Confidentiality obligations.
  • Limitation of liability.
  • Indemnification responsibilities.
  • Dispute resolution provisions.

Termination shall conclude the ongoing service relationship but shall not eliminate rights, responsibilities, or obligations that arose before termination.
